1. Terms of Use for All Users

By using Fanzy Tech Ltd (the “Platform”), you agree to abide by these Terms of Service.

2. Terms of Use for Fans

BY USING OUR WEBSITE AS A FAN YOU AGREE TO THESE TERMS – PLEASE READ THEM CAREFULLY

Introduction: These Terms of Use for Fans are additional terms that apply when using fanzytech.ltd as a Fan. In these Terms of Use for Fans, references to “you” and “your” pertain to Fans. These terms are an integral part of your agreement with Fanzy Tech Ltd.

Interpretation: Within these Terms of Use for Fans, defined terms hold the same meanings as those given in the Terms of Use for all Users. Additionally:

• “VAT” signifies United Kingdom value added tax and any other tax imposed or substituted at applicable rates. It also includes equivalent or similar indirect taxes, charges, duties, imposts, or levies in any other jurisdiction.
• “Tax” encompasses all forms of tax, statutory charges, duties, imposts, contributions, levies, withholdings, or liabilities, regardless of the jurisdiction.

Other terms applicable to your use of Fanzy: The following terms also apply to your use of fanzytech.ltd and you consent to them:

• Our Terms of Use for all Users.
• Our Privacy Policy, which explains how we use your personal data and other collected information.
• Our Acceptable Use Policy, which outlines what is and isn’t permissible on Fanzy.
• Our Complaints Policy, which details the complaint procedure and our handling of complaints.
• The Standard Contract between Fan and Creator, governing terms applicable to each Fan/Creator Transaction on fanzytech.ltd.
• Our Community Guidelines, which provide additional terms and guidance for your interactions on Fanzy.

Other terms that may apply to your use of Fanzy: The following additional terms may also be relevant:

• If you are a Creator on Fanzy, the Terms of Use for Creators will apply.
• For Creators established or residing in the European Union or the United Kingdom, the Platform to Business Regulation Terms will also apply.
• If you participate in the Fanzy referral program, the Referral Program Terms will apply.

Your commitments to us: You make the following legally enforceable promises:

• You are at least 18 years old.
• If the laws of your country or state/province require a higher age for legal contract binding, you meet that requirement.
• You will provide the information or verification records we request.
• You are allowed by your local laws to join Fanzy, access Content, and use its functionalities.
• You can and will make payments (when required) to view Content and use Fanzy’s functionalities.

Content – general terms: In addition to terms outlined in the Terms of Service, especially our Acceptable Use Policy, these terms apply to the Content you post, display, upload, or publish as a Fan on fanzytech.ltd:

• You warrant that your Content fully complies with the Terms of Service and, in particular, our Acceptable Use Policy.
• You either own your Content (along with its intellectual property rights) or possess a valid license.
• If your Content involves third-party material, you have obtained all necessary rights, licenses, written consents, and releases for its use and subsequent exploitation on fanzytech.ltd.

You agree to be responsible for any loss or damage suffered by Fanzy Tech Ltd if any of these warranties are untrue.

Adult material: You acknowledge that some Content on fanzytech.ltd contains adult material and agree to consider this when accessing and viewing Content. Fanzy Tech Ltd is not responsible if you violate any third-party contracts or applicable laws while accessing adult material.

Subscriptions and purchases by Fans: This section outlines the terms governing Fan/Creator Transactions:

• All Fan/Creator Transactions are contracts between Fans and Creators, based on the Standard Contract between Fan and Creator.
• Creators determine pricing within Fanzy’s parameters.
• Fan Payments exclude VAT, which will be added at applicable rates.
• To initiate a Fan/Creator Transaction, add a payment card and click the ‘Subscribe’ button on the Creator’s profile.
• You authorize us and our subsidiaries to provide your payment card details to a third-party payment provider for processing Fan Payments.
• Subscription renewals are automatic unless declined by your payment card, subject to price changes or your manual ‘Auto-Renew’ switch off.
• Canceling a Subscription permits continued access until the subscription period ends. No further payments are taken for that Creator’s profile, and you can no longer view their Content.
• Unjustified refund requests or chargeback attempts may lead to User account suspension or deletion.

Wallet credits: You can prepay an amount, known as “Wallet Credits,” on fanzytech.ltd for future Fan Payments. These credits are non-refundable.

Processing Fees

A processing fee may be applied to your purchases to cover associated processing expenses. The processing fee may vary and is typically in the range of $1 to $5, depending on the nature of the transaction and the payment method used.

This processing fee helps us manage the costs of processing payments and maintaining our services. It contributes to the security and efficiency of financial transactions, ensuring a smooth experience for all users.

By making a purchase, you agree to the application of a processing fee as outlined in these Terms & Conditions. The specific fee amount will be disclosed to you at the time of your purchase.

We reserve the right to update or change the processing fee structure at any time, and such changes will be effective immediately upon posting the updated Terms & Conditions on our platform. The processing fee charges will not have any retro-active effect on existing subscriptions (recurring payments). 

Wallet credits: You can prepay an amount, known as “Wallet Credits,” on Fanzy.ai for future Fan Payments. These credits are non-refundable.

Suspension of your User account: If we suspend your User account per our rights under the Terms of Service, pending Fan Payments will be suspended during the account suspension period.

Restricted Countries: Afghanistan, Belarus, Burundi, Central African Republic, Chad, Congo, Democratic Republic of the Congo, Cuba, Region of Crimea, Eritrea, Iran, Iraq, North Korea, Libya, Myanmar, Somalia, Republic of South Sudan, Russia, Sudan, Syria, Yemen, Venezuela.

3. Terms of Use for Creators/Influencers

Introduction: These Terms of Use for Creators are additional terms that apply when you use fanzytech.ltd as a Creator. Throughout these Terms of Use for Creators, “you” and “your” refer to Creators, and these terms are a fundamental part of your agreement with Fanzy Tech Ltd.

Interpretation: In these Terms of Use for Creators, defined terms maintain the same meanings as given in the Terms of Use for all Users. Additionally:

• “VAT” signifies United Kingdom value added tax and any other tax imposed or substituted at applicable rates. It also includes equivalent or similar indirect taxes, charges, duties, imposts, or levies in any other jurisdiction.
• “Tax” encompasses all forms of tax, statutory charges, duties, imposts, contributions, levies, withholdings, or liabilities, regardless of the jurisdiction.

Other terms applicable to your use of Fanzy: The following terms also apply to your use of fanzytech.ltd, and you consent to them:

• Our Terms of Use for all Users.
• Our Privacy Policy, which explains how we use your personal data and other collected information.
• Our Acceptable Use Policy, which outlines what is and isn’t permissible on Fanzy.
• Our Complaints Policy, which details the complaint procedure and our handling of complaints.
• The Standard Contract between Fan and Creator, governing terms applicable to each Fan/Creator Transaction on fanzytech.ltd.
• Our Community Guidelines, which provide additional terms and guidance for your interactions on Fanzy.

Other terms that may apply to your use of Fanzy: The following additional terms may also be relevant:

• If you are established or resident in the European Union or the United Kingdom, the Platform to Business Regulation Terms will also apply to you.
• If you are also a Fan, the Terms of Use for Fans will also apply to your use of fanzytech.ltd.
• If you participate in the Fanzy Referral Program, the Referral Program Terms will apply to your involvement in the Fanzy Referral Program.

Fees for Creators: We charge Creators a fee of twenty percent (20%) on all Fan Payments received, exclusive of any VAT portion. This fee, called “Our Fee,” covers the costs associated with providing, maintaining, and operating fanzytech.ltd, as well as storing Content. The remaining eighty percent (80%) of the Fan Payment, exclusive of any VAT portion, is payable to Creators and is referred to as “Creator Earnings.” Our Fee is deducted from the Fan Payment, and Creator Earnings are paid to you according to the method described in the “Payouts to Creators” section below.

Setting Up Your Creator Account: To set up your account as a Creator, follow these steps:

1. Upload a valid form of ID and two photos of yourself on your User account page, adhering to the provided requirements.
2. Add a bank account or payment details for your bank account or a payment method on your User account page.
3. Choose one of the available Payout Options provided by fanzytech.ltd on your User account page for transferring your Creator Earnings.
4. If you are registered for VAT in the UK, provide us with your valid UK VAT number. Refer to the “Promoting Tax Compliance and VAT” section in these Terms of Use for Creators regarding UK VAT.
5. Depending on your location, you may need to submit additional information.
6. We may request additional age or identity verification information at any time, and we reserve the right to reject your application for a Creator account for various reasons, as stated herein.

Once you’ve established your Creator account, you can set a monthly subscription fee for your Fans if you wish to charge them. You’ll then be able to add Content, and Users can subscribe to your account to become your Fans. If you lose access to your account, you can reset your password, but you’ll need to provide the email address associated with the account. Failure to recall the email address may require you to provide identification documents, photos, and any additional evidence we reasonably request to verify your identity.

Personal Legal Responsibility of Creators: Only individuals can become Creators. Each Creator personally bears legal responsibility for complying with the Terms of Service. If you have an agent, agency, management company, or another third party assisting with your Creator account, it does not diminish your personal legal responsibility. Our relationship is with you, and not with any third party, and you are legally responsible for ensuring that all Content posted and all use of your account complies with the Terms of Service.

Fan/Creator Transactions: This section outlines the terms that govern Fan/Creator Transactions:

• All Fan/Creator Transactions are contracts between Fans and Creators based on the Standard Contract between Fan and Creator.

• While we facilitate Fan/Creator Transactions by providing the fanzytech.ltd platform and storing Content, we are not a party to the Standard Contract between Fan and Creator or any other contract that may exist between a Fan and Creator. We are not responsible for any Fan/Creator Transaction.

• Fan Payments are exclusive of VAT, which will be added at the applicable rate for Fan Payments.

• Once you receive confirmation from fanzytech.ltd, either on the ‘Statements’ page of your User account or via email (or both), indicating that the Fan/Creator Transaction is confirmed, you must fulfill your obligations in such transactions (e.g., allowing Fans to view your Content or providing custom Content or services, as applicable). You agree to indemnify us for any breach of this obligation, which means you will be responsible for any loss or damage, including loss of profit, we incur due to your failure to comply.

Content – General Terms: In addition to the terms outlined elsewhere in the Terms of Service, particularly our Acceptable Use Policy, the following terms apply to Content posted, displayed, uploaded, or published by you as a Creator on fanzytech.ltd:

• Your Content is not confidential, and you authorize your Fans to access and view it for their lawful and personal use, in compliance with any licenses you grant to them.
• You warrant that each item of Content you post fully complies with the Terms of Service, especially our Acceptable Use Policy.
• You have all the rights necessary to license and deal with your Content on fanzytech.ltd, including in every territory where you have Fans and in the United Kingdom.
• You either own your Content (along with all intellectual property rights) or possess a valid license to offer and supply it to your Fans.
• If your Content includes or uses any third-party material, you have secured all the necessary rights, licenses, written consents, and releases for its use in your Content on fanzytech.ltd and for subsequent use and exploitation of that Content.

You agree to be liable to us and indemnify us if any of these warranties is untrue, meaning you will be responsible for any loss or damage, including loss of profit, we incur as a result.

We are not responsible for and do not endorse any aspect of any Content posted by you or any other User of fanzytech.ltd. We are not obligated to monitor any Content and have no direct control over its composition.

Advertising on Fanzy: If you post or upload video Content to your Creator account that is intended to promote third

4. Acceptable Use Policy

BY USING OUR WEBSITE YOU AGREE TO THIS POLICY – PLEASE READ IT CAREFULLY

This Policy applies to your use of Fanzy Tech Ltd (fanzytech.ltd) and all Content on Fanzy Tech Ltd, forming an integral part of our agreement. It outlines the permissible and prohibited activities on Fanzy Tech Ltd.

1. Personal Use: Use Fanzy Tech Ltd solely for personal purposes and refrain from selling, renting, transferring, or sharing your account or any Content obtained from Fanzy Tech Ltd with others.

2. Lawful Use: Utilize Fanzy Tech Ltd in a lawful manner and for legitimate purposes.

3. Content Posting: Do not upload, post, display, or publish illegal, fraudulent, defamatory, hateful, discriminatory, threatening, harassing, or violence-promoting Content.

4. Restrictions: Posting content which .

5. No Harassment: Do not use Fanzy Tech Ltd to stalk, bully, abuse, harass, threaten, or intimidate others.

6. Intellectual Property: Respect the intellectual property rights of Creators and do not misuse their Content without authorization.

7. Rights and Impersonation: Do not violate our or others’ rights, impersonate individuals or entities, or provide false account information.

8. Spam and Deception: Do not post spam, artificially increase views, or use deceptive tactics.

9. Unauthorized Use: Avoid transmitting recorded material as live streams or using unauthorized methods to communicate Policy-violating content.

10. Content Usage: Refrain from reproducing, modifying, or transmitting Content without authorization, except as permitted under our Terms of Service.

11. Malicious Actions: Do not introduce harmful material into Content or interfere with the platform’s security.

12. System Disruption: Ensure that your use of Fanzy Tech Ltd does not adversely affect our systems, security, or other Users’ activities.

13. Automation: Do not use automated tools to access or extract Content from Fanzy Tech Ltd.

14. Brand Use: Only use Fanzy Tech Ltd’s name, logo, and related identifiers as expressly permitted in our Terms of Service.

Breaches of this Policy may result in the suspension or termination of your account, and access to your earnings may be revoked, as outlined in our Terms of Service.

5. Referral Program Terms

WARNING! In compliance with regulation 3 of the Trading Scheme Regulations 1997 (as amended) and section 120(1) of the Fair Trading Act 1973, please read the warning below in respect of the Fanzy Tech Ltd. Referral Program:

It is illegal for us or for a participant in the Fanzy Tech Ltd. Referral Program (including Referring Users and Referred Creators) to persuade anyone to make a payment by promising benefits from getting others to join the Fanzy Tech Ltd. Referral Program. Do not be misled by claims that high earnings are easily achieved from participation in the Fanzy Tech Ltd. Referral Program.

Introduction: These Referral Program Terms are additional terms that apply if you use the Fanzy Tech Ltd. Referral Program. These Referral Program Terms form part of your agreement with us.

Interpretation: In these Referral Program Terms, defined terms have the same meanings given to them in the Terms of Service for all Users. In addition:

• “Referring User” is also referred to as “you” or “your” in these Referral Program Terms.
• “Referred Creator” means the person who joins Fanzy Tech Ltd. as a Creator via the Referring User’s unique referral link.

What is the Fanzy Tech Ltd. Referral Program? Fanzy Tech Ltd. offers a referral program by which existing Users can introduce people who are interested in becoming Creators to Fanzy Tech Ltd. and receive referral payments from Fanzy Tech Ltd., which are calculated and limited as described in these Referral Program Terms.

The Fanzy Tech Ltd. Referral Program is operated by Fanzy Tech Ltd. We are a limited company registered in England and Wales, with company registration number 15190372, and we have our registered office address at 86-90 Paul Street, London EC2A 4NE, England.

The rules of the Fanzy Tech Ltd. Referral Program:

• Only Users of Fanzy Tech Ltd. with a current User account can participate in the Fanzy Tech Ltd. Referral Program. If a User’s account has been suspended or terminated by us for any reason or deleted by the User, that User will not be eligible to participate in the Fanzy Tech Ltd. Referral Program.
• You will need to add bank account or payment method details to your User account page to receive referral payments under the Fanzy Tech Ltd. Referral Program.
• Each User has a unique referral link (which can be accessed via the User’s User account) which the User may share with others. When sharing your unique referral link, you must not impersonate Fanzy Tech Ltd. or give the impression that your referral link is being shared or promoted by us. You must not use Google Ads or any similar advertising platform or search engine advertising service to share or promote your unique referral link. Upon our request, you must disclose the methods by which you share your unique referral link in the Bio/Website field of your Fanzy Tech Ltd. account.
• The Referred Creator must click on your unique referral link and then register with Fanzy Tech Ltd. using the same browser they used to click on your unique referral link. If someone registers with Fanzy Tech Ltd. other than by using your unique referral link, we will not link that account to your referral, and no referral payments will be made to you.
• The Referred Creator must not have opened a User account with Fanzy Tech Ltd. (whether under the same name or another name) before clicking on your unique referral link. If the Referred Creator is currently or has previously been a User of Fanzy Tech Ltd., no referral payments will be made to you for the referral.
• If the Referred Creator sets up more than one User account, referral payments will be made to you on the earnings made by the Referred Creator from their first User account only. No referral payments will be made to you on any further User accounts set up by the Referred Creator.
• No referral payments will be made to you on any referral of a Referred Creator which we determine is owned or operated by you or is in a commercial relationship with you. You will provide any information we request to enable us to determine whether the Referred Creator is owned or operated by you or if there is a commercial relationship between you and the Referred Creator.
• You agree that when promoting Fanzy Tech Ltd. in any way as a Referring User:
  • You will not give a false impression of Fanzy Tech Ltd., the services, programs, and content made available through Fanzy Tech Ltd., its Users, or the Terms of Service.
  • You will not make any statements that suggest to a potential Creator that they will make a particular sum of money (or any money) from their use of Fanzy Tech Ltd. or any statements regarding the likely number of Fans.

Referral payments:

How are referral payments calculated? Once a Referred Creator has become a registered User of Fanzy Tech Ltd. in accordance with the rules of the Fanzy Tech Ltd. Referral Program described above, the Referring User will be paid a referral payment equal to five per cent (5%) of Fan Payments generated by the Referred Creator in the twelve months after the date on which the Referred Creator becomes a registered User of Fanzy Tech Ltd., up to a maximum referral payment by Fanzy Tech Ltd. to the Referring User of US$50,000 per Referred Creator.

This means that if a Referred Creator generates Fan Payments with a total value of US$1 million or more in the twelve months after the date on which that Referred Creator becomes a registered User of Fanzy Tech Ltd., then the Referring User’s referral payments in relation to that Referred Creator will be capped at US$50,000 in total. However, if the Referred Creator generates Fan Payments with a total value of less than US$1 million in the twelve months after the date on which that Referred Creator becomes a registered User of Fanzy Tech Ltd., then the Referring User will be paid five per cent (5%) of the Fan Payments generated by that Referred Creator in the twelve months after the date on which the Referred Creator becomes a registered User of Fanzy Tech Ltd., following which no further referral payments will be made to the Referring User in respect of that Referred Creator.

For all referrals made prior to 1 May 2020, referral payments will be made to the relevant Referring Users until 1 May 2021 or until US$50,000 has been paid out to the Referring User on the referral, whichever occurs first.

VAT: If you are a Referring User, you should know that all referral payments payable to you by us will be inclusive of any VAT (as defined in the Terms of Use for Creators) which is or becomes chargeable on any supplies made by you, except as provided for in the “Promoting Tax compliance and VAT” section of the Terms of Use for Creators.

6. Complaints Policy

Introduction: This document outlines our complaints policy and forms part of your agreement if you are a User of Fanzy or Fanzy Tech Ltd.

Contact Information: Fanzy is operated by Fanzy Tech Ltd, a registered company in England and Wales (Company No. 10354575) with a registered office at 9th Floor, 107 Cheapside, London, EC2V 6DN.

Interpretation: In this Complaints Policy, defined terms align with those in the Terms of Use for all Users. “Business days” refers to any day except Saturday, Sunday, or public holidays in England.

Who Can Use This Policy: Whether you’re a Fanzy User or not, you can utilize this Complaints Policy to report complaints related to Fanzy.

How to File a Complaint: To report a complaint regarding Fanzy (including Content concerns or User conduct), send your complaint to [email protected]. Include your name, address, contact details, a description of your complaint, and the relevant Content’s URL if applicable.

If email contact isn’t possible, send your complaint to: 9th Floor, 107 Cheapside, London, EC2V 6DN.

Handling Complaints about Illegal or Non-Consensual Content: After receiving a complaint about illegal or non-consensual Content:

• We will investigate within a suitable timeframe.
• If more information is needed, we will contact you.
• Your complaint will be reviewed in good faith within seven (7) business days.
• If Content is found to be unlawful or non-consensual, we will promptly remove it and inform you.
• If Content is deemed lawful, we will notify you accordingly.

Any dispute over our determination of non-consensual Content will be submitted to arbitration at our expense.

Handling Copyright Infringement Complaints: Copyright-related complaints follow our DMCA Policy, and responses adhere to that policy.

Handling Other Complaints: Upon receiving other complaints (e.g., breaches of our Acceptable Use Policy):

• We will initiate an appropriate investigation.
• Additional information requests will be communicated.
• We will take suitable actions in good faith to address the issue. If Content breaches our Acceptable Use Policy, we will promptly remove it.
• We are not obligated to disclose the complaint’s outcome.

Unjustified or Abusive Complaints: Users must not make wholly unjustified, abusive, or bad-faith complaints. Breaching this warranty may lead to suspension or termination of the User account.

7. Platform to Business Regulation Terms

Fanzy Tech Ltd complies with the Platform to Business Regulation. This ensures transparency, fairness, and effective dispute resolution for business users on our platform.

Refund Policy

We maintain a strict refund policy. Users must not make unjustified refund requests or chargebacks. If such requests are made in bad faith, we reserve the right to suspend or delete the user’s account.
